Non-Executive Chairman
Robert Walvis was appointed Non-Executive Chairman of Associated British Ports Holdings Ltd in April 2013. Prior to this he was a non-executive director of the Board of Associated British Ports Holdings Ltd from August 2007 as a representative of GIC Special Investments. He is currently also Chairman of the Supervisory Board of Allianz Nederland Groep NV. He has previously been senior independent director of Balfour Beatty Plc, non-executive director of Johnson Matthey Plc, a director of British Enegery Plc and Inspicio Plc and between 1971 and 2001 held a series of management positions within the Royal Dutch Shell Group, including Chairman of the Global Corporate Centre, where he was responsible for worldwide strategic planning, external, and environmental affairs.
Chief Executive
James Cooper became Chief Executive and executive director of the Board of Associated British Ports Holdings in April 2013. Prior to this Mr Cooper was a non-executive director of the Board of Associated British Ports Holdings Ltd from May 2007 to January 2013 and was a director of Infracapital, part of M&G Investment Management Limited. From 1998 he worked for BNP Paribas, where he was co-head of UK Corporate Finance. Between 1992 and 1998 he worked for Hambros Bank, where he led the transport sector team and was a director. He was prevously Chairman of Red Funnel Group Holdings Ltd, Alticom Holdings BV and Calvin Capital Ltd and a director of Zephyr Investments Ltd and of Kelda Group Ltd.
Chief Financial Officer
Sebastian Bull became Chief Financial Officer and a Director of Associated British Ports Holdings Ltd in February 2011 and is Chairman of the Refinancing Committee. Mr Bull was previously Director of Finance and Administration at More London Development Limited from 2003 to 2010. From 1998 to 2002, Mr Bull held senior commercial and finance roles, including Corporate Finance Director, Network Development Director and Finance Director, at Railtrack (now Network Rail). Prior to Railtrack, Mr Bull spent 14 years working in corporate finance roles for UBS. Mr Bull trained as a Chartered Accountant for KPMG.
Executive Director
Doug Morrison was appointed to the Board of Associated British Ports Holdings Plc in April 2005. Mr Morrison has worked for the group for his entire career, having joined direct from school in 1968. He worked in ports administration at Ayr & Troon for 11 years before moving to the operational side of the business as a trainee supervisor. Within ten years he was responsible for all port operations at Ayr & Troon. He became Port Manager in 1998 and was promoted to the position of Port Director, Hull & Goole, in 2003. He took up his current role as Port Director, Southampton, in April 2005.
Non-Executive Directors
Philippe Busslinger joined the Board of Associated British Ports Holdings Ltd in June 2011. He is a member of the Remuneration and Nomination and Refinancing Committees. Mr Busslinger is a Senior Vice President at Borealis Infrastructure Management Inc, based in the London office. Prior to joining Borealis, Mr Busslinger was an executive director with Goldman Sachs in its London office where he advised clients in M&A transactions across Europe. Previously he worked for McKinsey & Company as a consultant. Mr Busslinger holds and MBA from Columbian Business School in New York and a BA (Business) from ICADE Universidad Pontificia Comillas in Madrid.
Ed Clarke rejoined the Board of Associated British Ports Holdings Ltd in January 2013, having previously been a director between August 2006 and May 2007 and alternate director from May 2007 to November 2009. He is a member of the Audit, Remuneration and Nomination and Refinancing Committees. Mr Clarke is Co Founder and Director of Infracapital, the infrastructure investment arm of M&G investments. Mr Clarke has over 20 years of infrastructure investment, funding and advisory experience. He joined M&G in 2001 to develop the equity side of the business, as well as to make debt investments in the sector. In 2002, he worked on the establishment of the Innisfree M&G PPP Fund (IMPPP) and continues to sit on the Investment and Steering Committee of IMPPP. Mr Clarke is a member of Infracapital's Executive Committee, overseeing all aspects of Infracapital's business, including sourcing and managing a range of infrastructure investments. Prior to joining M&G, Mr Clarke worked at Societe Generale where he was responsible for structuring and arranging capital markets issues to fund infrastructure projects and prior to that he was a leading member of the Hambros Bank infrastructure advisory team. During his time at Hambros, Mr Clarke also set up their infrastructure advisory business in South Africa. Mr Clarke holds an MA from Edinburgh University and is FSA CF-30 approved.
John McManus was appointed as a director of Associated British Ports Holdings Ltd in January 2013. Prior to this, Mr McManus served as alternate director to Michael Rolland from January 2012. Mr McManus is Chairman of the Audit Committee. Mr McManus began his career with an international accounting firm, before working with several successful entrepreneurs on business development, financings and venture capital investments. He joined Borealis in 2001 and is currently jointly responsible for managing the Borealis transaction team and head of Borealis's London office. His experience covers investments ranging from nuclear power to satellite technology. Mr McManus is actively involved with, and is a member of the board of directors of, Bruce Power (the largest generation facility in North America) and Ciel Satellite (provider of satellite communications throughout Canada). Mr McManus holds a Bachelors of Commerce degree from the University of Toronto and is a Chartered Accountant.
Philippe Camu joined the Board of Associated British Ports Holdings Ltd in August 2006 and is a member of the Remuneration and Nomination Committee. Mr Camu, a Managing Director at Goldman Sachs, heads the European business of Goldman Sachs Infrastructure Partners (GSIP) and is a member of GSIP's Investment Committee. Mr Camu is also on the board of Eurotunnel and of Endesa Gas T&D.
George Kay joined the Board of Associated British Ports Holdings Ltd in August 2006. He is Chairman of the Remuneration and Nomination Committee and a member of the Refinancing Committee. He is a director of AEI, an emerging-market energy infrastructure company based in Houston. Mr Kay is also an Advisory Committee Member of Citi Infrastructure Investors. Prior to joining GIC Special Investments in early 2006, where he is responsible for infrastructure investments in Europe and South America, Mr Kay worked in principal finance for the Commonwealth Bank of Australia. Prior to that he worked for Westpac Banking Corporation as Senior Credit Analyst.
David Kerr joined the Board of Associated British Ports Holdings Ltd in February 2010 and is a member of the Audit Committee. He is Senior Vice President of GIC Special Investments Pte Ltd and is a director of Sintonia SA, a holding company for the acquisition and management of an internationally diversified portfolio of infrastructure investments, Duquesne Light, an electricity utility based in Pittsburgh, Pennsylvania, and Budapest Airport, Hungary. Prior to joining GIC Special Investments he was Managing Director for Infrastructure in the asset management division of Deutsche Bank and previously spent 13 years at Bechtel Enterprises, the infrastructure investment and financing arm of Bechtel Group. During his career with Deutsche Bank and Bechtel, Mr Kerr held a number of Board and steering committee positions in Europe and the Americas encompassing ports, airports, highways, as well as water and wastewater utilities.
Peter Lyneham joined the Board of Associated British Ports Holdings Ltd in March 2010 and is a member of the Audit and Refinancing Committees. Mr Lyneham is a managing director in Goldman Sachs' Merchant Banking Division, which manages the GS Infrastructure investing business within Goldman Sachs, which was formed in 2005. Prior to joining the Merchant Banking Division he worked in the Investment Banking Division's corporate advisory and financing groups in both London and Sydney since 1999.
John Morea joined the Board of Associated British Ports Holdings Ltd in June 2010. He is currently CEO of Scotia Gas Networks (SGN), a £4.2bn company which owns and operates the gas distribution networks in Scotland and across central southern and south-east England, including all the London boroughs south of the River Thames. SGN employs around 6,000 staff and contractors across its regions and is responsible for the safe and secure provision of gas to some 5.7 million customers. SGN is a joint venture between Scottish and Southern Energy (50%), OMERS Pension Fund (25%), and Ontario Teachers Pension Fund (25%). Mr Morea joined SGN in May 2005 from Scottish and Southern Energy Plc where he was Network Director with responsibility for the operation and asset management of SSE's electricity distribution networks. He has extensive experience of electricity distribution and a growing knowledge of gas. Mr Morea sits on the SSE Management Board and has been a past Board member of the Energy Networks Association and has over 20 years' experience in utilities; is a member of the Institution of Engineering & Technology and Institute of Directors and a Fellow of the Institution of Gas Engineers & Managers.
Alternate Non-Executive Directors
Kenton Bradbury was appointed as alternate director to Ed Clarke from January 2013. Prior to this, Mr Bradbury served as alternate director to
Tom Ferguson became an alternate director to Philippe Camu and Peter Lyneham in March 2010. Prior to this Mr Ferguson was a director of Associated British Ports Holdings Ltd from November 2006. Mr Ferguson joined Goldman Sachs in 2002 and was named Managing Director in 2007. Mr Ferguson heads the asset management efforts for the merchant bank's US real estate investment activity. Mr Ferguson serves on the Board of EFH Corp, the largest integrated power company that owns and manages agricultural real estate, and Nor 1, a company providing revenue enhancement solutions to the travel industry. Mr Ferguson formerly held Board seats at Red de Carreteras, a toll road concessionaire in Mexico, and Carrix, one of the largest private container terminal operators in the world.
Michael Rolland was appointed alternate director to John McManus, Philippe Busslinger, and John Morea in January 2013. Prior to this Mr Rolland was a non-executive director of the Board of Associated British Ports Holdings Ltd from 2008 to January 2013. He became president and CEO of Borealis Infrastructure in March 2007 and has overall executive responsibility for Ontario Municipal Employees Retirement System's investments in infrastructure assets and ensuring senior management maintains strong and open relationships with asset operators and investment partners. In 1998, Mr Rolland joined Borealis where he has originated, structured and managed many complex investments. Before this he developed and led a public-sector and healthcare-advisory firm specialising in corporate and structured financings; and was a senior tax manager at an international accounting firm.
